  1. Acceptance of Terms

  Welcome to the services provided by BUYUP. The following are the BUYUP Terms of Service (hereinafter referred to as the “Terms of Service”). We provide services to you in accordance with these terms. We may revise the terms from time to time without specific notice to you. The revised Terms of Service shall take effect immediately upon posting and supersede the previous terms. When you use specific BUYUP services, both parties shall comply with the guidelines and rules posted (and reposted from time to time) for such specific services. These guidelines and rules form part of these Terms of Service.

  2. General Provisions

  The shipper or you undertake that we reserve the right to decline or refuse to accept items that are unsuitable for express transportation, items that intentionally or unintentionally conceal their true name and value, and items that are explicitly prohibited from being carried, mailed or transported under national laws. In case of any violation, the shipper or you shall bear all legal and economic liabilities arising therefrom.

  3. Definitions

  The terms and conditions set forth in this Agreement apply to end users using this website. By using this website (other than first reading this Agreement), the end user agrees to be bound by all terms and conditions of this Agreement. The right to use this website is personal to the end user and may not be transferred to any other person or entity. If a password is used, the end user is responsible for keeping the end user’s password confidential. The end user acknowledges that even though the Internet is often a secure environment, there may be circumstances beyond BUYUP’s control, such as service interruptions or activity disruptions. BUYUP shall not be responsible for any data lost during the transmission of information over the Internet. The BUYUP website may occasionally be unavailable for any reason, including but not limited to routine maintenance. You understand and acknowledge that access to the website may be occasionally interrupted, suspended or terminated under circumstances within or beyond BUYUP’s control. BUYUP reserves the right to change or discontinue any aspect or feature of this website at any time, including but not limited to content, hours of availability, and equipment required for access or use. In addition, BUYUP may cease transmitting any part of any information or category of information, may change or eliminate any transmission methods, and may change transmission speeds or other signal characteristics.

  4. Modification of Terms

  BUYUP reserves the right to interrupt or change any Terms of Use and/or Privacy Policy statement at any time whenever deemed necessary or appropriate, without prior notice to you. Such changes may include, among other things, the addition of certain fees or charges. Therefore, we recommend that you regularly review this important notice containing the Terms of Use and Privacy Policy statement to keep you informed of any such changes. If we change any Terms of Use and Privacy Policy statement and you continue to use our website, this indicates your implied consent to the Terms of Use and Privacy Policy statement stated herein. Any deletion or modification shall take effect immediately upon issuance by BUYUP. Any continued use of BUYUP by an end user after such notice shall be deemed as acceptance of such modifications by the end user. You agree that BUYUP shall not be liable to you or any third party for any modification, suspension or termination of this website.

  5. Equipment

  The end user shall be responsible for obtaining and maintaining all telephone, computer hardware, and other equipment required for accessing or using this website, and for all costs associated therewith. BUYUP shall not be liable for any damage to the end user’s equipment resulting from the use of this website.

  6. Service Description

  BUYUP provides users with BUYUP Logistics and related services (hereinafter referred to as the “Service”). The Service is provided by BUYUP. You understand and agree that the Service may include advertisements, which are necessary for BUYUP to maintain the provision of the Service. You also understand and agree that the Service may include certain communications from BUYUP, such as service announcements and administrative messages, and these communications are part of the BUYUP service and you may not opt out of receiving them. Unless otherwise explicitly stated, any new features that augment or enhance the current Service (including the launch of new products) shall be subject to these Terms of Service. You understand and agree that the Service is provided on an “as is” basis, and BUYUP shall not be responsible for the timeliness, deletion, misdelivery, or failure to store any user communications or personalized settings. BUYUP reserves the right to suspend all or part of the Service for maintenance, upgrades, updates or other work deemed appropriate by BUYUP without prior notice to you. You shall obtain the Service at your own expense, including third-party fees (such as Internet service provider or time-based charges), including costs related to the display or transmission of advertisements. In addition, you must provide all necessary equipment required to access the Service and be responsible therefor.

  7. Your Registration Obligations

  In order to use the Service, you agree to the following: (a) Provide accurate, precise, current and complete information about yourself as prompted by the Service’s registration form (hereinafter referred to as “Registration Data”); (b) Maintain and promptly update the “Registration Data” to ensure it is accurate, precise, current and complete. If you provide any information that is incorrect, untrue, outdated, incomplete or misleading, or if BUYUP has reasonable grounds to suspect that such information is incorrect, untrue, outdated, incomplete or misleading, BUYUP reserves the right to suspend or terminate your account and refuse any and all current or future use of the Service (or any portion thereof) by you. BUYUP is concerned about the safety and privacy of all users, especially children.

  The “Registration Data” and other related information held by BUYUP about you are regulated by applicable personal data laws and regulations.

  9. Member Account, Password and Security

  You are responsible for maintaining the confidentiality of your password and member account. You shall be fully responsible for all activities conducted using your password and account. You agree to the following: (a) Immediately notify BUYUP of any unauthorized use of your password or account or any other breach of security; and (b) Log out of your account at the end of each session. BUYUP will not be liable for any loss or damage arising from your failure to comply with this provision.

  10. Member and End User Conduct

  This website, as well as any personal, merchant-specific, city-specific or country-specific websites now or hereinafter contained therein or otherwise accessible through external hyperlinks from our website (i.e., “Microsites”), are private property. All interactions on this website and/or Microsites must comply with these Terms of Use. Any conduct by an end user that, in the sole discretion of BUYUP, restricts or inhibits any other end user from using or enjoying this website and/or any Microsites is strictly prohibited.

  Everything on or in this website, including Microsites, is the exclusive property of BUYUP or used under the express permission of the copyright and/or trademark owners. Any reproduction, distribution, transmission, publication, linking, deep-linking or otherwise modification of this website or any Microsites is strictly prohibited unless approved and expressly authorized in writing by BUYUP. Any violation of this policy that may constitute infringement of copyright, trademark or other intellectual property rights may subject the end user to civil and/or criminal penalties. This website contains copyrighted material, trademarks and other proprietary information, including but not limited to text, software, photos, video, graphics, music and sound. The entire content of BUYUP is protected as a collective work under the copyright laws of Hong Kong. BUYUP holds the copyright in the selection, coordination, arrangement, enhancement and original content of such material. End users may not modify, publish, transmit, participate in the transfer or sale of, create derivative works from, or otherwise exploit any content in whole or in part. End users may download / print / save copyrighted material for their personal use only. The end user acknowledges that he/she/it does not acquire any ownership rights by downloading copyrighted material. Trademarks located within or on the website are not deemed to be in the public domain but are the exclusive property of BUYUP, unless the website is used under the license of its respective trademark owner, in which case such license is for the exclusive benefit and use of BUYUP unless otherwise stated. End users may not upload, post or otherwise make available on this website any material protected by copyright, trademark or other proprietary rights without the express permission of the owner of such copyright, trademark or other proprietary rights. All rights in this trademark are hereby expressly claimed as the copyright of BUYUP. Unless otherwise stated, all other trademarks appearing on this website are the property of their respective owners.

  12. Monitoring

  BUYUP has the right, but not the obligation, to monitor the content of the website at all times to ensure compliance with this Agreement and any operating rules established by BUYUP and to satisfy any applicable law, regulation or authorized government requirement. Without limiting the foregoing, BUYUP has the right to remove any material that violates this provision or is otherwise objectionable in BUYUP’s sole discretion.

  You acknowledge the international nature of the Internet and agree to comply with all applicable local laws regarding online conduct and acceptable “Content”. You specifically agree to comply with all applicable laws regarding the export of technical or personal data from Hong Kong or the country or region in which you reside.

  By posting communications on or through this website, the end user shall be deemed to have granted BUYUP a royalty-free, perpetual, irrevocable, non-exclusive license to use, reproduce, modify, publish, edit, translate, distribute, perform and display the communication alone or as part of other works, media or technologies now known or hereafter developed, and to sublicense such rights through multiple tiers of sublicensees.

  You agree that BUYUP may, in its sole discretion, terminate your password, account (or any part thereof) or use of the Service and remove and delete any “Content” within the Service for any reason, including but not limited to lack of use or if BUYUP believes that you have violated the express terms and spirit of these Terms of Service. BUYUP may terminate the Service or any part thereof at any time in its sole discretion with or without notice to you. You agree that any Service provided under any provision of these Terms of Service may be suspended or terminated without prior notice to you, and you acknowledge and agree that BUYUP may immediately close or delete your account and all related information and files in your account and/or prohibit further use of such files and the Service. In addition, you agree that BUYUP shall not be liable to you or any third party for any suspension or termination of your access to the Service or any freezing or deletion of your account or related information and files.

  Your correspondence or commercial dealings with, or participation in promotions of, advertisers found on or through the Service, including payment and delivery of related goods or services, and any terms, conditions, warranties or representations associated with such dealings, are solely between you and such advertisers. You agree that BUYUP shall not be liable for any loss or damage of any kind incurred as a result of any such dealings or as a result of the presence of such advertisers on the Service.

Since BUYUP has no control over such websites and resources, you understand and agree that BUYUP does not warrant the availability of such external websites or resources, nor does BUYUP endorse or assume responsibility for any “Content”, advertising, products or other materials available on or from such websites or resources. You further agree that BUYUP shall not be liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such “Content”, goods or services available on or through any such website or resource.

  You expressly understand and agree that: (a) BUYUP’s obligations in connection with the Services under these Terms of Use are limited to providing the relevant services to you with reasonable skill and care. Nothing in these Terms of Service shall exclude or limit BUYUP’s liability for death or personal injury caused by BUYUP’s negligence, fraud or other wrongful acts that cannot be excluded or limited under applicable law. (b) Your use of the Service is at your sole risk. The Service is provided on an “as is” and “as available” basis. BUYUP expressly disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose and non-infringement of third-party rights. (c) BUYUP does not warrant that: (i) the Service will meet your requirements; (ii) the Service will be uninterrupted, timely, secure or error-free; (iii) the results obtained from the use of the Service will be accurate or reliable; (iv) the quality of any products, services, information or other materials purchased or obtained by you through the Service will meet your expectations. (d) Any material downloaded or otherwise obtained through the use of the Service is accessed at your own discretion and risk, and you will be solely responsible for any damage to your computer system or loss of data that results from the download of any such material. (e) No advice or information, whether oral or written, obtained by you from BUYUP or through the Service shall create any warranty not expressly stated in these Terms of Service. (f) BUYUP uses reasonable efforts to ensure that product information is as accurate as possible; however, it does not guarantee that product information is accurate, complete, reliable, current or error-free. Product availability, prices, charges and order content may contain technical discrepancies and typographical errors. BUYUP shall not be legally liable for any inaccurate product information. (g) You agree to assume all risks associated with the use of this website and/or reliance on product information on this website. (h) BUYUP reserves the right to revise product prices, fees, product availability and order content at any time and from time to time without prior notice, and shall not be legally liable to users of this website. (i) All goods are subject to availability while stocks last. BUYUP does not guarantee that product availability will meet all customer order requirements, and in all cases BUYUP reserves the absolute discretion to refuse or cancel orders, refuse to supply goods and/or services or cancel any account at any time without giving any reason.

  You expressly understand and agree that BUYUP shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages (even if BUYUP has been advised of the possibility of such damages) including but not limited to damages for loss of profits, goodwill, use, data or other intangible losses resulting from: (i) the use or inability to use the Service; (ii) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the Service; (iii) unauthorized access to or alteration of your transmissions or data; (iv) statements or conduct of any third party on the Service; or (v) any other matter relating to the Service (except as expressly provided otherwise in these Terms of Service).

  Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages.

A description of the copyrighted work that you claim has been infringed. A description of the location on the website where the material you claim infringes your rights is situated. Your address, telephone number, and email address. A statement by you that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law. If any infringement is discovered, legal action will be pursued in accordance with the law.

  These Terms of Service constitute the entire agreement between you and BUYUP and govern your use of the Service, superseding any prior agreements between you and BUYUP. You may also be subject to additional terms and conditions when using related services, third-party content or software. These Terms of Service and your relationship with BUYUP shall be governed by the laws of the Hong Kong Special Administrative Region of the People's Republic of China, without regard to its conflict of law principles. You and BUYUP both agree to submit to the personal and exclusive jurisdiction of the Hong Kong courts.
